Invesdors
What It Is
A digital shareholder register is the officially recognised record that you hold shares in a company. Under Swiss OR Art. 686, every AG must maintain such a register. There is no legal requirement for it to be on paper.
When you invest through Invesdors, your name, investment amount, share count, and share class are entered into the company's digital register. From that moment, you are a legally recognised shareholder.
This is not a token. It is not a certificate. It is not a derivative. It is an entry in an official corporate register — with the same legal weight as a notarised paper document.
Shareholder Entry
Key Concepts
Your shareholding is recorded by name — not held anonymously. This is required under Swiss OR and makes you a traceable, legally protected shareholder.
You receive a registry confirmation document when your shares are issued. This is your proof of shareholding — equivalent to a traditional share certificate.
Named shareholders in a Swiss AG or GmbH are entitled to vote at general meetings. Digital registration does not limit or reduce these rights in any way.
Your shareholding exists independently of Invesdors. If the platform ceases to operate, your shareholder rights persist via the company's commercial register.
Invesdors does not require blockchain technology to maintain legal share register entries. The register is digital — secured, timestamped, and audit-logged.
FAQ
Your shares are recorded in the company's own shareholder register — not only on Invesdors. Your legal ownership persists. You can contact the company directly or via the commercial register.
No. Swiss OR does not prescribe the form of a share register. A properly maintained digital register has identical legal standing to a paper-based or notarised register.
For Swiss AG, shares are freely transferable unless the articles restrict transfer. For GmbH, transfer requires a written-form assignment (OR Art. 785), members'-meeting consent (Art. 786) and a commercial-register update — no notarisation since 2008. Invesdors facilitates both processes.
You receive a registry confirmation document when your shares are issued. This, combined with your account history and the company's register, constitutes full legal proof.
Swiss withholding tax of 35% applies to dividends on Swiss AG shares. Capital gains on private investor holdings are generally not subject to Swiss income tax. Seek independent advice.
