Investments in digital equity (private shares) are highly speculative and carry the absolute risk of a total loss of the invested capital. There is no guarantee of return on investment or dividend distributions. You should only invest money that you can afford to lose entirely without altering your standard of living.

Private equity is inherently illiquid. Securities issued by the issuing company using the Platform's technology are not listed on any regulated exchange, multilateral trading facility (MTF), or organized trading venue. The bilateral bulletin does not provide matching or guaranteed liquidity. You may have to hold your investment indefinitely.

Private shares require a long-term holding period. Furthermore, the transfer of registered shares (Namenaktien) is typically restricted by the issuing company's articles of association (Vinkulierung), meaning the Board of Directors can arbitrarily refuse a transfer.

Tokenized shares rely on blockchain technology. Despite rigorous auditing, smart contracts may contain critical vulnerabilities, bugs, or logic errors that could lead to the total loss, theft, or freezing of your digital assets. Invesdors explicitly excludes all liability for such exploits.

Investments made through the Platform are not covered by the Swiss deposit protection scheme (esisuisse) or any equivalent financial compensation fund. In the event of the Issuer's bankruptcy, your investment is lost.

The legal classification and tax treatment of digital assets are subject to rapid change. Future legislation or regulatory actions by FINMA or tax authorities may negatively impact the legality, transferability, or value of your tokenized equity.

Private companies are not subject to the strict disclosure and reporting requirements of publicly listed companies. You may receive limited or infrequent financial information regarding the company's performance.

Because Invesdors never holds campaign principal, cancelled or failed campaigns depend on the issuer or Foundors organiser refunding you bank-to-bank via SIX bLink to the same account you paid from. Issuers can submit a multi-payee batch in one bank confirmation. There is no platform escrow pullback. Delays or non-payment by the counterparty are a counterparty risk, not a deposit-protection claim against Invesdors.
