Data Processing Agreement for licensed Swiss notaries (Notary Partners) using the Invesdors platform.
Effective for mandates accepted on or after 17 July 2026.
The company (issuer) is the data controller for its corporate data. The notary processes limited company-level data as an independent professional under Swiss notarial law and, for platform tooling, as an authorised sub-processor of Invesdors GmbH (technology provider). Invesdors does not provide legal advice and does not authenticate notarial acts.
Company legal name, legal form, CHE / registry number, canton, engagement type, reference label, and documents the issuer uploads for the specific mandate (e.g. draft resolutions, bank certificate for capital increase). Investor identities, KYC dossiers, wallet addresses, and individual subscription amounts are not exposed in the Notary Partner portal.
Solely to perform the engaged notarial service (e.g. authentication of a Kapitalerhöhungsbeschluss under OR Art. 650–652f for AG / OR Art. 781 for GmbH, or a statute / DLT clause amendment) and to upload the authenticated deed to the platform.
The notary remains bound by applicable cantonal notarial secrecy and professional duties. Platform access does not waive those duties. Credentials and invite links must not be shared.
Access is limited to engagements where the notary is the assigned Notary Partner. Deed uploads are hashed (SHA-256) for tamper evidence. Sessions expire; API keys (if issued) must be stored securely and revoked on request.
Engagement records and deed references are retained as required for the issuer's commercial register and corporate audit trail. The notary's own Urkundenarchiv remains under the notary's control per cantonal rules.
Accepting a mandate in the Notary Partner portal (checkboxes + accept action) constitutes acceptance of this DPA for that engagement. Questions: legal@invesdors.ch.
